These terms govern your use of Valerois Studio and Nova: the desktop app, the web app at studio.valerois.com, and the service behind them (together, the “Service”), offered by Valerois (“we”, “us”). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

1. What the Service is

Valerois Studio is an AI workspace. Nova is the assistant inside it: it answers questions, writes and edits text and code, and, in the desktop app, can work with files, run commands and open web pages on your computer when you allow it. The web app works in a workspace kept in your browser.

2. Your account

You need an account (e-mail and password, or Google sign-in) and must give a real e-mail address. Keep your password safe; you are responsible for what happens under your account. One account is for one person: do not share it or sell access to it. You must be at least 16 years old.

3. Plans, usage and fair use

We offer a Free plan and paid plans (Plus, Pro, Max). Plans differ in how much you can use, the size of the conversation Nova can hold, and the models and features available. Usage is measured as a share of a weekly and a monthly allowance, expressed as a multiple of the Free plan (for example “5× the usage of Free”). When an allowance is used up, the Service pauses until it resets; some plans move to other models instead of stopping. Allowances, models and features can change as the Service develops; we will not reduce what you have already paid for during the current billing period.

Features that run only on your own machine, such as local runtimes and your own API keys, are not metered.

4. Subscriptions and payment

Paid plans are subscriptions that renew every month (or every year, if you choose yearly billing) until you cancel. Our order process is run by Lemon Squeezy, our Merchant of Record: Lemon Squeezy sells the subscription to you, collects the payment and applicable taxes, and sends your receipt. Their terms apply to the purchase. You can cancel at any time, in one click, from Settings → Account → Manage subscription; the plan then stays active until the end of the period you paid for and does not renew. Prices can change; we will tell you before a change takes effect and it applies from your next renewal. See our Refund Policy.

5. Acceptable use

You agree not to:

  • reverse engineer, decompile, disassemble or try to extract the source code, the model routing or the keys of the Service, except where the law says you may;
  • abuse the Service or its API: automated or excessive requests meant to bypass your allowance, probing for weaknesses, attacking, overloading or interfering with it;
  • resell, sublicense or share access, or use the Service to build a competing product;
  • use the Service for anything unlawful, to create malware, to harass or deceive people, or to produce content that exploits or endangers children;
  • try to bypass limits, plan restrictions or safety measures.

We may limit, suspend or end accounts that break these rules, with or without notice when the abuse is serious.

6. Your content and Nova’s answers

You keep ownership of what you write and of the files you create. You give us the right to process your content only as needed to run the Service for you (see the Privacy Policy). Nova is an AI: its answers can be wrong, incomplete or out of date. Check anything that matters, especially legal, medical, financial and security matters, before you rely on it. You are responsible for how you use the answers and the code Nova writes.

7. The desktop app acts on your computer

In the desktop app, Nova can read and write files in the folder you give it, run commands there and open web pages. Ordinary work in that folder happens without asking; risky actions (such as deleting recursively, pushing to a remote, installing system software or typing on your desktop) ask first. You decide which folder to share and what to allow. Keep backups of work you cannot lose. We are not responsible for damage caused by commands or changes you allowed Nova to make.

8. Availability and changes

We work to keep the Service available, but it depends on other providers and can be interrupted, slow or unavailable without notice. We may change, add or remove features. We may update these terms; if a change is important we will tell you in the app or by e-mail, and using the Service after the change means you accept it.

9. Ending the relationship

You can stop using the Service and delete your account at any time (write to [email protected]). We may suspend or end your access if you break these terms or if the law requires it. Sections that by their nature should survive (such as liability and governing law) survive.

10. Disclaimers and limits of liability

The Service is provided “as is” and “as available”, without promises that it will be error-free or uninterrupted, or that answers will be accurate. To the extent the law allows, we are not liable for indirect or consequential loss, loss of data, profit or business, and our total liability for any claim is limited to the amount you paid us for the Service in the three months before the event. Nothing here limits rights you have under mandatory consumer law, or liability that cannot be limited by law.

11. Governing law and contact

These terms are governed by the laws of the Republic of Türkiye, without affecting the mandatory consumer protections of the country where you live. Questions: [email protected].

1. Hizmet nedir

Valerois Studio bir yapay zekâ çalışma alanıdır. Nova, içindeki asistandır: soruları yanıtlar, metin ve kod yazar, düzenler; masaüstü uygulamasında, izin verdiğinde bilgisayarındaki dosyalarla çalışabilir, komut çalıştırabilir ve web sayfaları açabilir. Web uygulaması, tarayıcında tutulan bir çalışma alanında çalışır.

2. Hesabın

Bir hesaba (e-posta ve parola ya da Google ile giriş) ihtiyacın var ve gerçek bir e-posta adresi vermelisin. Parolanı güvende tut; hesabında olan her şeyden sen sorumlusun. Bir hesap tek kişi içindir: paylaşma, erişimini satma. En az 16 yaşında olmalısın.

3. Planlar, kullanım ve adil kullanım

Ücretsiz bir plan ve ücretli planlar (Plus, Pro, Max) sunuyoruz. Planlar, ne kadar kullanabildiğin, Nova'nın tutabildiği konuşma boyutu ile kullanılabilir modeller ve özellikler bakımından farklılaşır. Kullanım, haftalık ve aylık bir hakkın yüzdesi olarak ölçülür ve Ücretsiz planın katı olarak ifade edilir (örneğin “Ücretsiz'in 5 katı kullanım”). Hak bittiğinde, sıfırlanana kadar Hizmet durur; bazı planlar durmak yerine başka modellere geçer. Hizmet geliştikçe haklar, modeller ve özellikler değişebilir; içinde bulunduğun faturalama döneminde ödediğin şeyi azaltmayız.

Yalnızca kendi makinende çalışan özellikler (yerel çalışma ortamları, kendi API anahtarların) ölçülmez.

4. Abonelikler ve ödeme

Ücretli planlar, sen iptal edene kadar her ay (yıllık faturalamayı seçersen her yıl) yenilenen aboneliklerdir. Sipariş sürecimizi Lemon Squeezy yürütür; Lemon Squeezy bizim “Merchant of Record”umuzdur: aboneliği sana o satar, ödemeyi ve geçerli vergileri o tahsil eder, makbuzunu o gönderir. Satın alma için onların şartları geçerlidir. İstediğin zaman, tek tıkla, Ayarlar → Hesap → Aboneliği yönet bölümünden iptal edebilirsin; plan ödediğin dönemin sonuna kadar açık kalır ve yenilenmez. Fiyatlar değişebilir; değişiklik yürürlüğe girmeden önce haber veririz ve sonraki yenilemenden itibaren geçerli olur. İade Politikamıza bak.

5. Kabul edilebilir kullanım

Şunları yapmamayı kabul edersin:

  • kanunun izin verdiği haller dışında Hizmetin kaynak kodunu, model yönlendirmesini veya anahtarlarını tersine mühendislikle çözmek, derlemeyi geri açmak ya da çıkarmaya çalışmak;
  • Hizmeti veya API'sini kötüye kullanmak: hakkını aşmak için otomatik ya da aşırı istek, açık aramak, saldırmak, yük bindirmek, işleyişine müdahale etmek;
  • erişimi yeniden satmak, alt lisanslamak, paylaşmak ya da Hizmetle rakip ürün geliştirmek;
  • Hizmeti yasa dışı bir amaçla, zararlı yazılım üretmek, insanları taciz etmek veya aldatmak ya da çocukları sömüren veya tehlikeye atan içerik üretmek için kullanmak;
  • sınırları, plan kısıtlarını veya güvenlik önlemlerini aşmaya çalışmak.

Bu kurallara aykırı davranan hesapları sınırlayabilir, askıya alabilir veya kapatabiliriz; ihlal ciddiyse önceden haber vermeden.

6. İçeriğin ve Nova'nın yanıtları

Yazdıkların ve oluşturduğun dosyaların sahibi sen kalırsın. İçeriğini yalnızca Hizmeti senin için çalıştırmak için gerektiği kadar işleme hakkını bize verirsin (Gizlilik Politikası). Nova bir yapay zekâdır: yanıtları yanlış, eksik veya eski olabilir. Özellikle hukuk, sağlık, finans ve güvenlik konularında, güvenmeden önce önemli olan her şeyi kontrol et. Yanıtları ve Nova'nın yazdığı kodu nasıl kullandığından sen sorumlusun.

7. Masaüstü uygulaması bilgisayarında iş yapar

Masaüstü uygulamasında Nova, verdiğin klasördeki dosyaları okuyup yazabilir, orada komut çalıştırabilir ve web sayfaları açabilir. O klasördeki olağan işler sormadan yapılır; riskli işler (özyinelemeli silme, uzak depoya gönderme, sistem yazılımı kurma, masaüstünde yazı yazma gibi) önce sorar. Hangi klasörü paylaşacağına ve nelere izin vereceğine sen karar verirsin. Kaybetmek istemediğin işlerin yedeğini al. Nova'nın yapmasına izin verdiğin komut ve değişikliklerin yol açtığı zarardan sorumlu değiliz.

8. Erişilebilirlik ve değişiklikler

Hizmeti erişilebilir tutmaya çalışırız ama diğer sağlayıcılara bağlıdır; haber vermeden kesilebilir, yavaşlayabilir veya kullanılamayabilir. Özellikleri değiştirebilir, ekleyebilir veya kaldırabiliriz. Bu şartları güncelleyebiliriz; önemli bir değişiklikte uygulamada veya e-postayla haber veririz, değişiklikten sonra Hizmeti kullanman kabul ettiğin anlamına gelir.

9. İlişkinin sona ermesi

Hizmeti istediğin zaman bırakabilir ve hesabını silebilirsin ([email protected] adresine yaz). Bu şartlara aykırı davranırsan ya da kanun gerektirirse erişimini askıya alabilir veya sonlandırabiliriz. Niteliği gereği geçerli kalması gereken bölümler (sorumluluk, uygulanacak hukuk gibi) geçerliliğini sürdürür.

10. Sorumluluk reddi ve sınırları

Hizmet “olduğu gibi” ve “mevcut olduğu ölçüde” sunulur; hatasız veya kesintisiz olacağına ya da yanıtların doğru olacağına dair söz verilmez. Kanunun izin verdiği ölçüde, dolaylı veya sonuçsal zararlardan, veri, kâr ve iş kaybından sorumlu değiliz; herhangi bir talep için toplam sorumluluğumuz, olaydan önceki üç ayda Hizmet için bize ödediğin tutarla sınırlıdır. Buradaki hiçbir şey, bulunduğun ülkenin emredici tüketici hukukundan doğan haklarını veya kanunen sınırlanamayan sorumluluğu sınırlamaz.

11. Uygulanacak hukuk ve iletişim

Bu şartlara Türkiye Cumhuriyeti hukuku uygulanır; yaşadığın ülkenin emredici tüketici korumaları saklıdır. Sorular için: [email protected].
